Quotations, Orders and Acceptance

A quotation describes proposed pricing, configuration and commercial terms but does not necessarily create a binding obligation until the applicable acceptance process is completed.

Orders are subject to acceptance by eTuk Americas, LLC. Additional or different buyer terms apply only when expressly accepted in writing by an authorized representative of eTuk Americas.

Pricing, Taxes and Other Charges

Vehicle, equipment, customization and project pricing should be confirmed in the applicable written quotation or sales documentation.

Buyer may be responsible for applicable taxes, duties, freight, insurance, registration-related expenses or other charges unless the applicable written sales documents provide otherwise.

Delivery, Transportation and Risk of Loss

Delivery timing may depend on vehicle availability, production, customization, materials, transportation and other project requirements.

Estimated delivery dates should not be treated as guaranteed dates unless expressly confirmed in the applicable written sales documents.

Responsibility for freight, transportation, storage and risk of loss is determined by the applicable transaction documents and Terms.

Inspection, Claims and Returns

Buyers should inspect delivered Goods promptly. The current sales terms provide a defined period for reporting nonconformity, visible damage, defects or shortages.

Returns generally require prior authorization from eTuk Americas. Goods returned without authorization may not qualify for credit or other remedy.

Deposits, Invoices and Amounts Due

Payment requirements are established by the applicable quotation, invoice, financing arrangement or other transaction documentation.

eTuk Americas may require deposits, advance payments or other payment arrangements depending on the vehicle, configuration, customization and scope of the project.

Failure to make required payments may affect production, release, shipment or continued performance of the order.

Limited Warranty

New vehicles may be covered by the limited warranty applicable to the specific vehicle and transaction.

Warranty rights, exclusions, procedures and remedies should be reviewed using the current warranty documentation supplied with the vehicle or applicable sales documents.

Warranty coverage may not apply to misuse, unauthorized alteration, improper operation, improper maintenance or other excluded conditions.

Used Goods May Be Sold As-Is

Used vehicles, used parts and certain repair parts may be sold as-is unless the applicable signed quotation expressly provides different warranty coverage.

Buyers purchasing used Goods should review vehicle-specific condition information, disclosures and written transaction terms.

Custom Builds, Engineering and Order Changes

Custom builds may involve engineering, fabrication, equipment procurement, graphics, electrical work or other commitments made specifically for the Buyer.

Changes requested after design, fabrication or procurement has begun may affect pricing, production timing and cancellation costs.

Custom features should not be considered included unless they are identified in the applicable written proposal or order documentation.

Cancellation or Modification of an Order

Cancellation or modification of an accepted order may require written agreement with eTuk Americas and may result in reasonable cancellation, restocking, fabrication, procurement or direct-cost charges.

Cancellation of a custom or partially completed build may involve significantly different costs than cancellation of an unmodified stocked vehicle.

Warranty Limitations, Liability and Claims

The complete Terms contain important provisions concerning warranty disclaimers, limitations of remedies, categories of damages and timing of contractual claims.

These provisions should be reviewed together with the signed sales documents and applicable warranty documentation for the transaction.

Regulatory, Government and Export Requirements

Certain transactions may be subject to federal, state, local, government-contract, export-control or other regulatory requirements.

Buyers are responsible for identifying requirements applicable to their intended use, jurisdiction and transaction unless otherwise expressly agreed in writing.

Governing Law and Contractual Documents

The current Terms provide for applicable United States law and the laws of the Commonwealth of Virginia, subject to the complete provisions contained in the governing Terms.

The complete Terms may also address matters including confidentiality, intellectual property, indemnification, assignment, security interests, notices, force majeure, waiver and available remedies.
